2. Types of Stock
(a) End of Catalogue / Clearance Stock
Surplus end-of-line stock, generally believed to be in good condition, but which may include soiled or damaged packaging or minor manufacturing defects. No warranty or guarantee is provided.
(b) Customer Return Stock
Stock that has been returned to the original retailer ("Source Company") as faulty, damaged, incomplete, or otherwise unsuitable for resale by them. Goods may include used, incomplete, or non-functional items. Packaging damage is common.
By purchasing customer return stock, you agree to the following:
- (I) All Source Company names, trademarks, or other identifying marks must be removed or obscured prior to resale, in line with Gem Wholesale's instructions.
- (ii) You must not use any Source Company catalogues, promotional materials, or literature in connection with resale.
- (iii) All merchandise is sold without guarantee as to fitness for purpose. You are solely responsible for ensuring that goods are safe, serviceable, and compliant with relevant regulations before resale.
- (iv) You agree to indemnify Gem Discounts Ltd against any claims arising directly or indirectly from the resale of merchandise you purchase.
- (v) No returns or credits will be accepted under any circumstances.
- (vi) Any statements or descriptions provided are for guidance only and do not constitute a representation of condition.
- (vii) Goods are sold ex-warehouse. Collection is permitted by prior arrangement, but viewing or inspection before purchase is not offered. Delivery can also be arranged via our courier partners at your cost.

3. Payment Terms
3.1. All orders must be paid in full via bank transfer before goods will be released or dispatched.
3.2. Title to the goods does not pass to you until payment has been received in full by Gem Discounts Ltd.
3.3. We reserve the right to cancel any order that remains unpaid beyond the agreed payment period.

4. Safety and Compliance Requirements
You are solely responsible for ensuring that all merchandise purchased from Gem Wholesale is safe, compliant, and fit for resale. This includes, but is not limited to, the following:
(I) Toys
- Must carry a CE and/or UKCA mark and the name/address of the responsible company.
- Toys containing small parts must carry the required statutory warning: "Not suitable for children under 3 years."
- Packaging bags must be at least 38 microns thick and bear appropriate warnings.
- Completeness, assembly instructions, and absence of sharp edges must be checked before resale.
- Toys using low-voltage mains power must meet British Standard 3456.
(ii) Electrical Items / Audio Equipment
- Must be repaired, reconditioned, or tested to CE and/or UKCA standards before resale.
- Portable appliance testing (PAT) is required where applicable.
- It is a condition of sale that safety checks are carried out and documented prior to resale.
(iii) Prams, Pushchairs, and Nursery Goods
- Must comply with BS EN 1888:2012 (or the applicable updated standard).
- Car seats must comply with ECE R44.03 or the current equivalent, and include fitting instructions.
- Used nursery goods must be inspected to ensure they are structurally safe and suitable for use.
Failure to carry out appropriate checks may result in legal liability, and Gem Discounts Ltd accepts no responsibility for non-compliance.

5. Removal of Original Retailer Details
All catalogue numbers, brand markings, or references to the original retailer ("Source Company") must be removed or permanently obscured before resale.
You must not use any Source Company trademarks, brand names, or promotional materials in any way related to resale.

6. Delivery, Collection & Storage
6.1. Orders can be collected from our warehouse by prior arrangement. Our team will assist with loading where possible, but arranging suitable transport is your responsibility.
6.2. If goods are not collected or delivery cannot be completed within 5 working days of order completion, storage charges may apply at our discretion. These will be based on volume and duration.
6.3. Orders not collected within two working days of the agreed collection date may be cancelled without refund.

Shipping And Handling: We ship all carton lots to the UK on an automatic Next Day service. Pallets for UK delivery can be shipped on Economy 2-3 day service or Next Day, you may select which during your order.
Delivery Schedule: We deliver your order once payment is received (our despatch deadline is 1pm each working day) It is your responsibility to ensure the goods arrive intact and un-opened and once signd for are accpeted as delivered in 'good order' and 'complete' - Should you receive an item that is either damaged, opened or has had items removed you MUST sign for the stock accordingly. If you fail to sign that an item is damaged, faulty or parts missign we will be unable to accept any claim from you or make a claim on the carrier.
Tax Charges: For orders made from the UK, 20% VAT is added.
Guarantee: Other than as expressly provided in these terms and conditions with respect to specific products and except for the exclusive remedies set out at, any indemnities, warranties, terms and conditions (whether express or implied) are hereby excluded to the fullest extent permitted under applicable law.
